An intellectual property holding company can have valuable assets and legitimate royalty income, yet still face close scrutiny when applying for a UAE business account. Patents, trademarks, copyright and other IP rights can be difficult for a bank to verify and value. If the company has no clear commercial activity beyond owning those rights, it may also appear passive or shell-like.

The practical answer is to make the ownership, business purpose and expected account activity easy to understand and verify. In this guide, we explain how to prepare an IP-holding offshore company for a UAE bank application in 2026. Bank approval remains subject to each institution’s policies and due diligence; company formation alone does not guarantee an account.

How to Understand Why Banks Scrutinise IP-Holding Companies

Banks assess whether the company’s legal profile, owners, assets and expected transactions make commercial sense together. IP ownership can be hard to establish because rights may have been created by founders, employees, contractors or related companies, then transferred through several agreements. The bank may need to understand that chain before it can assess who owns the asset and who controls the company.

A holding company that earns royalties may also appear passive. That description is not automatically a problem, but limited visible operations can make it difficult to distinguish a genuine IP business from an entity with no clear economic purpose. The bank may therefore ask for evidence of development, acquisition, licensing and management, not just a certificate showing that an entity exists.

Prepare a consistent description of what the company owns, how it obtained those rights, who uses them and how money reaches the account. Be accurate about whether the entity actively manages or licenses IP or simply holds it. Do not present a passive structure as an operating business if that is not what it does.

How to Prove Ownership and Control of the IP

Start with an asset-by-asset register. For each patent, trademark, copyright or other right, record its description, registration number if applicable, jurisdiction, current owner, acquisition or creation date, and any licences or encumbrances. The bank should be able to trace the named applicant or registered owner to the company applying for the account.

Collect the documents that establish the chain of title:

  • Assignment deeds and transfer agreements showing how the rights moved from the inventor, creator or previous owner to the company.
  • Development contracts and employment agreements clarifying who created the IP and whether rights were assigned to the company.
  • Patent, trademark or trade mark registration certificates and current registry extracts, where the asset is registered.
  • Acquisition agreements and payment records if the company purchased the rights.
  • Licence agreements showing who can use the IP, under what terms and for what territories.
  • Board resolutions or other corporate approvals documenting acceptance of the transfer and decisions about the asset.

For UAE registrations, the government’s intellectual property information and services portal explains the main IP categories and links to Ministry of Economy and Tourism services. If the IP is registered overseas, provide the relevant foreign registry records as well. Registration helps substantiate the right, but it may not, on its own, explain how the company acquired it or establish every step in its ownership history.

How to Present Royalty and Licence Income Clearly

A bank needs to understand the expected flow of funds, not simply see a projected annual revenue figure. Prepare a concise schedule showing each licensee, its country, the relationship to the company, the rights granted, the payment frequency and the expected amount or calculation method. Match that schedule to signed agreements and, where available, invoices and receipts.

A credible account profile connects the IP to actual commercial use. Include evidence such as:

  • Executed licences with defined rights, territories, duration and fees.
  • Invoices, royalty statements or payment records that correspond to licence terms.
  • A forecast showing expected receipts and business expenses.
  • Evidence of how royalty rates were set, such as a valuation or pricing analysis, if available.
  • Relevant correspondence or operational records demonstrating that the company administers the licences.

Explain the transaction route plainly: who pays, why they pay, in which currency, how often, and from which country. Disclose related-party licensees and any intermediaries. If an agreement is not yet signed, distinguish forecast income from contracted income rather than presenting it as an established receipt stream.

These steps do not make a passive entity “look operational” through presentation alone. They help the bank understand the genuine activity and decide whether it is acceptable under its policies. For support preparing a UAE business bank account application, we can help organise the business profile and supporting information around the company’s real activity.

An offshore company’s registration does not, by itself, demonstrate where its strategic decisions are made or establish tax residence. If the company is intended to be managed from the UAE, provide coherent evidence of that arrangement. This may include board minutes, delegated authorities, records of key decisions, management agreements, local service contracts and documentation showing where material risks are assessed and managed.

A RAK ICC or JAFZA Offshore company may be considered as part of the structure, depending on the purpose and permitted activities. Confirm the company’s actual activity scope, licensing or registration status, and supporting documents with the relevant authority or registered agent. Neither jurisdiction should be treated as an automatic route to banking approval or proof of business substance.

If you are setting up an entity, our company formation UAE support can help you consider the formation steps and documentation. The right structure should fit the intended IP ownership and licensing activity; it should not be selected on the assumption that an offshore designation removes compliance or tax obligations.

Economic Substance Regulations (ESR) need to be considered in their current context. The UAE Ministry of Finance states that ESR requirements were amended to apply only to financial years ending on or before 31 December 2022. A company should therefore check for any outstanding obligations or exposure relating to earlier periods, rather than assume that an ESR report is due for its 2026 year. The Ministry of Finance ESR page provides official guidance. This change does not replace separate corporate tax, licensing, accounting or bank KYC requirements.

How to Prepare for the Bank’s KYC Questions

Expect the bank to ask questions that test the connection between the asset, its owner and the proposed account activity. These can include:

  • Who created or acquired each IP asset, and when?
  • What evidence establishes that the applicant company owns the rights?
  • Were any rights transferred by a founder, shareholder or related party?
  • How was the IP valued or priced, and what supports that assessment?
  • Which parties are licensed to use the IP, and are any counterparties related?
  • What countries will royalty payments come from, and what are the expected values and frequency?
  • Who makes decisions about licensing, maintenance, enforcement and commercialisation?
  • What is the source of the company’s initial funds and ongoing expenses?

Prepare answers that match the company documents and bank forms. The bank will also identify the company’s ultimate beneficial owners, controllers, directors and authorised signatories, and may request proof of identity, address, tax residence, source of funds and source of wealth. A corporate shareholder does not remove the need to explain the ownership chain through to the relevant individuals.

For a broader view of the application process, our business account opening guidance explains how company information and expected activity fit into a UAE banking application. Requirements vary by institution and customer profile, so confirm the current document list directly with the bank or your adviser.

KYC preparation file for an IP-holding offshore company seeking a UAE business bank account, with business consultancy Dubai and company formation UAE context

Several gaps can make a file difficult to assess or lead to a refusal. One frequent issue is an incomplete chain of title, for example, a registration certificate in one person’s name with no executed transfer to the company. Another is a mismatch between licence agreements, invoices and the expected account flow.

Do not omit counterparties because they are related or based overseas. Undisclosed licensees, unclear intermediaries, or payments that do not match the declared business profile may raise further questions. Royalty flows linked to sanctioned parties or high-risk jurisdictions can present serious restrictions; disclose relevant geographies and counterparties accurately and seek specialist advice where needed.

Unsubstantiated valuations can also undermine confidence. If the bank asks how an asset was valued, explain the method and provide available supporting evidence. Do not imply that a valuation is independently verified if it is not. Finally, avoid vague account projections such as “international royalties” without identifying the expected sources, purpose and routing of funds.

Clear, upfront communication helps address concerns before submission. my eloah business hub can assist with organizing the account application and coordinating related support. If the company also needs UAE tax guidance, our VAT and corporate tax service can help you assess the relevant compliance questions separately from bank onboarding. CRS reporting is also distinct from ESR: the bank may request the company’s tax-residence and entity self-certifications and, where applicable, information about controlling persons. Classification depends on the company’s actual facts, so complete forms accurately and obtain tax advice if uncertain.

How to Use This Practical Preparation Checklist

Before approaching a bank, confirm that the file is complete and internally consistent:

  1. Company profile: incorporation and registration documents, current licence or equivalent records, constitutional documents, directors and authorised signatories.
  2. Ownership: organisation chart identifying the ultimate beneficial owners and explaining each layer of ownership and control.
  3. IP register: asset descriptions, registration evidence, jurisdictions, current owner and any relevant restrictions.
  4. Provenance: assignments, acquisition agreements, development contracts and other records tracing the rights from creator or former owner to the company.
  5. Commercial activity: executed licences, counterparty details, invoices, royalty statements and a forecast of expected receipts and expenses.
  6. Valuation and source of funds: available valuation support, evidence of acquisition payments, initial capital and funding for ongoing costs.
  7. UAE governance: records showing where decisions are made if UAE management is part of the intended structure.
  8. KYC and CRS information: identity, address and tax-residence details for relevant individuals, plus complete and consistent company self-certifications.
  9. Jurisdictional review: confirmation that the company’s registered activities and structure fit the intended IP ownership and licensing purpose.
  10. Bank-specific requirements: confirmation that the institution will consider the company’s structure, IP activity, counterparties and expected transaction countries.

Keep scanned copies and an indexed document list so you can answer follow-up requests without changing or recharacterising the facts. If the business later seeks working capital for genuine operating needs, the account’s transaction history and records will be relevant to a lender’s assessment; our business loan support can help assess that separate process.
