How to Claim Small Business Relief in the UAE Before the September 30, 2026 Deadline

Learn how to claim UAE Small Business Relief in EmaraTax by 30 September 2026, verify AED 3M eligibility, avoid errors, and maintain compliant records.

For a UAE business with a financial year ending on 31 December 2025, the deadline to submit its Corporate Tax return and settle any Corporate Tax due is 30 September 2026. If the business qualifies for UAE Small Business Relief, it must also make the election through its Corporate Tax return by the same deadline.

The important point is that Small Business Relief, or SBR, is not an automatic exemption. An eligible business must actively elect for it in EmaraTax, retain evidence supporting its eligibility, and continue meeting its Corporate Tax obligations.

In this guide, we explain how to decide whether SBR is appropriate, verify the AED 3 million revenue threshold, check exclusions, complete the election accurately, and conduct a final review before submission.

How to Decide Whether Small Business Relief Is Right for 2025

Small Business Relief is designed to reduce the Corporate Tax burden and compliance requirements for qualifying UAE resident businesses. When a valid election is made, the business is treated as having no Taxable Income for the relevant Tax Period.

This generally means the business does not calculate its Taxable Income or pay Corporate Tax for that period. It also files a simplified Corporate Tax return rather than a full return.

However, the decision should not be based only on the possibility of paying no Corporate Tax. An SBR election can affect the treatment of:

  • Tax losses arising in the election period;
  • Net interest expenditure arising in that period;
  • Certain other Corporate Tax reliefs and deductions;
  • Business restructuring or qualifying group transfer reliefs; and
  • The way the business plans for future taxable periods.

For example, a business with a significant tax loss may wish to assess whether electing for SBR prevents that loss from being recognised or used in the same way as it would under the ordinary Corporate Tax rules. A business involved in an intra-group transfer should also review the impact before making the election.

We recommend comparing the administrative convenience and immediate tax benefit of SBR against the business’s broader tax position. Our UAE Corporate Tax and VAT support includes tailored eligibility reviews rather than one-size-fits-all filing decisions.

How to verify AED 3 million revenue for UAE Small Business Relief, corporate tax UAE, business consultancy Dubai and company formation UAE

How to Test the AED 3 Million Revenue Threshold

The principal eligibility test is whether the business had revenue of AED 3 million or less in:

  1. The relevant Tax Period, which is the year ending 31 December 2025; and
  2. All previous Tax Periods that must be considered under the applicable Corporate Tax rules.

This is a revenue test, not a profit test. Revenue means the gross income derived during the period. A business with low profit, or even a loss, may still be ineligible if its gross revenue exceeds AED 3 million.

When preparing the calculation, we should review the accounting records carefully. Revenue may include:

  • Sales of goods;
  • Fees from services and consultancy work;
  • Income from all relevant business activities;
  • Foreign and UAE business income for a UAE resident juridical person;
  • Proceeds from the sale of business assets; and
  • Non-cash receipts, such as barter transactions, generally measured at market value.

VAT collected on taxable supplies should not normally be treated as business revenue because it is collected on behalf of the Federal Tax Authority. However, businesses should ensure that VAT has been correctly separated from sales in the accounting records.

If revenue exceeded AED 3 million in a previous relevant Tax Period, the business may no longer qualify for SBR for the 2025 period, even if revenue later falls below the threshold. Businesses within a UAE Tax Group should also consider the group’s revenue as a whole, rather than assessing each company in isolation.

The FTA guide explains that revenue should be determined using applicable accounting standards accepted in the UAE. Businesses meeting the relevant conditions may also consider the cash basis of accounting, but the approach must be reasonable and consistently supported.

How to Check Eligibility and Exclusions

Before making the election, we should confirm that the business is a Resident Person for UAE Corporate Tax purposes. This can include a UAE-incorporated juridical person and certain resident natural persons conducting a taxable business activity.

Two important exclusions require particular attention.

Qualifying Freezone Persons

A Qualifying Freezone Person, or QFZP, cannot elect for Small Business Relief. This applies even when its revenue is AED 3 million or less.

A Freezone business that is not a QFZP may potentially qualify if it meets the other conditions. Therefore, being registered in a Freezone does not automatically prevent SBR. The critical question is whether the entity is a Qualifying Freezone Person for the relevant period.

Businesses should review their Corporate Tax position, qualifying income, substance, audited financial statement requirements, and any QFZP election before selecting SBR.

Members of Multinational Enterprise Groups

SBR is also unavailable to a constituent company or member of a multinational enterprise group where the relevant MNE conditions apply. The exclusion is connected to groups operating in more than one country with consolidated group revenue exceeding AED 3.15 billion, as defined under the UAE Country-by-Country Reporting framework.

A UAE company may therefore be excluded even if its own revenue is below AED 3 million. We should review the group ownership structure, consolidated financial statements, reporting obligations, and the status of any parent or affiliate companies.

Businesses must also avoid artificial separation. Creating or using multiple entities primarily to keep each entity below the AED 3 million threshold may attract scrutiny under the Corporate Tax anti-abuse rules. Separate legal entities are not automatically artificial, but the commercial purpose, financial links, shared staff, management, premises, customers, and operations may be relevant.

How to assess UAE Small Business Relief eligibility, QFZP and MNE exclusions, with business consultancy Dubai and company formation UAE context

A reliable SBR decision begins with a documented review rather than an estimate based on bank deposits or net profit.

We recommend preparing a revenue reconciliation that connects:

  • The general ledger;
  • Sales invoices and credit notes;
  • Bank statements;
  • Point-of-sale or payment gateway reports;
  • VAT returns, where applicable;
  • Foreign currency sales;
  • Asset disposal records;
  • Related-party invoices and agreements; and
  • The financial statements for the relevant period.

The reconciliation should explain differences between accounting revenue, VAT return figures, bank receipts, and the revenue figure used for the SBR assessment. Timing differences may arise where the business uses accrual or cash accounting, so the accounting basis should be documented.

Related-party information also deserves attention. SBR may reduce certain transfer pricing documentation requirements for the election period, but it does not remove the requirement to apply the arm’s-length principle. We should identify related parties, connected persons, shareholders, directors, common ownership, intercompany balances, loans, management fees, and service arrangements.

Keep an ownership chart and a list of related-party transactions for the year. If the business is connected to an international group, obtain confirmation of the group’s consolidated revenue and whether it falls within the MNE reporting framework.

How to Complete the SBR Election in EmaraTax

The election is made as part of the Corporate Tax return for the relevant Tax Period. It is not a separate automatic exemption request.

For a business with a 31 December 2025 year-end, we recommend the following process:

  1. Confirm that the business is registered for UAE Corporate Tax and has an active Tax Registration Number.
  2. Log in to the correct EmaraTax account using the authorised user or UAE Pass access.
  3. Select the Corporate Tax return for the Tax Period ending 31 December 2025.
  4. Review the pre-populated taxpayer and accounting period details.
  5. Confirm the revenue figure and eligibility responses.
  6. Select the Small Business Relief election where the business qualifies and intends to claim it.
  7. Complete the simplified return and any required declarations.
  8. Review all entries, attachments, contact details, and authorisation information.
  9. Submit the return and save the electronic acknowledgement and reference number.
  10. Confirm whether any payment is due and retain evidence of submission.

The exact EmaraTax screens and requirements may change. We should therefore verify the latest FTA instructions before filing and avoid relying on screenshots or older online guidance.

An election should be made only after reviewing the consequences described above. Once a return is submitted without the SBR election, the business should not assume that it can claim the relief later through an informal request.

How to Understand Missed or Incorrect Elections

Missing the 30 September 2026 deadline can create more than an administrative inconvenience. The business may face late filing consequences, and it may lose the opportunity to use SBR for the 2025 Tax Period if the election was not made in the submitted return.

An incorrect election can also create exposure if the business:

  • Reported revenue below AED 3 million when the correct figure was higher;
  • Excluded asset-sale proceeds without proper analysis;
  • Ignored revenue from a foreign business activity;
  • Failed to include all previous Tax Periods;
  • Claimed SBR while being a QFZP;
  • Overlooked membership of an applicable MNE group; or
  • Used separate entities to artificially divide substantially the same business.

If an error is discovered, we should act promptly. The business should preserve the submitted return, supporting calculations, accounting records, and all correspondence. We should then check the current FTA procedures for amendments, voluntary corrections, and any applicable administrative response. A correction should not be made casually because the appropriate action depends on the nature and timing of the error.

How to Retain Records After Filing

Electing for SBR does not eliminate record-keeping obligations. The FTA may request evidence supporting the revenue figure, eligibility conditions, and information in the Corporate Tax return.

Core records should include:

  • Sales ledgers and revenue reconciliations;
  • Invoices, credit notes, receipts, and delivery notes;
  • Bank statements and payment processor reports;
  • VAT returns and reconciliations, where applicable;
  • Asset acquisition and disposal records;
  • Liability records;
  • Ownership and shareholding information;
  • Related-party agreements and transaction schedules;
  • Group structure charts and MNE analysis;
  • Accounting policies and revenue calculations; and
  • The submitted EmaraTax return and acknowledgement.

Corporate Tax records generally need to be retained for seven years following the end of the relevant Tax Period. Electronic storage may be appropriate if records remain readable, complete, secure, and readily accessible.

Our business account opening support can also help businesses maintain a clear banking record trail, which is valuable when reconciling revenue, related-party payments, and financial activity for tax compliance.

How to Connect SBR With Corporate Tax Registration and Return Filing

SBR does not replace Corporate Tax registration. An eligible business must still register for Corporate Tax, obtain its TRN, file the relevant return, and maintain records.

For a 31 December 2025 year-end, the FTA has confirmed that the Corporate Tax return and any Corporate Tax due must be submitted and paid by 30 September 2026. Businesses electing SBR must still file a return; the relief simplifies the return but does not remove the filing obligation.

SBR also does not change VAT obligations. A company may elect SBR for Corporate Tax and still need to remain VAT registered, issue compliant tax invoices, submit VAT returns, and retain VAT records. Our VAT and Corporate Tax compliance service can review the interaction between both regimes.

If a business is using a new entity, it should also confirm that its licensing and formation records match the tax registration details. Our company formation UAE service supports businesses with formation documentation, licensing information, and the compliance steps that follow incorporation.

  • Revenue is AED 3 million or less for 2025.
  • Revenue did not exceed AED 3 million in relevant previous Tax Periods.
  • VAT collected has not been incorrectly included as business revenue.

  • Any Tax Group revenue has been assessed on the correct basis.

The FTA has advised taxpayers to review the Corporate Tax Law, implementing decisions, and current guidance before filing. The official FTA Small Business Relief page, FTA announcement on simplified returns, and the FTA Small Business Relief Guide should be checked for the latest position. The guidance is subject to change and should not replace advice based on the business’s specific facts.
